PARTIES


This Affiliate Agreement ("Agreement") is entered into between:

Registered office: Strada Lungă 188, Corp C, Ap. 2, Brașov 500051, Romania

(hereinafter "MINOMO" or "Company")

and

The Affiliate

The individual or legal entity accepting these terms by registering for the Affiliate Program

(hereinafter "Affiliate")


1. PURPOSE


1.1. This Agreement governs the Affiliate's participation in the MINOMO affiliate program, a platform for creating Bio Pages, URL shortener, QR Codes and related services.

1.2. The Affiliate promotes MINOMO services through a personalised referral link and receives commissions on generated sales.


2. COMMISSIONS


2.1. Percentage: The Affiliate receives a commission equal to 50% (fifty percent) of the first payment made by each new customer acquired through their affiliate link.

2.2. Eligible products: Commissions are recognised exclusively on the purchase of subscription plans (monthly, annual or lifetime). Purchases of additional credits, add-ons and any other ancillary products are excluded.

2.3. Attribution: A customer is attributed to the Affiliate when:

  1. they access MINOMO through the affiliate link;
  2. the tracking cookie (30-day validity) is present at the time of purchase;
  3. they complete the first payment for an eligible plan.


3. PAYMENTS


3.1. Minimum threshold: Withdrawals are permitted upon reaching a minimum balance of 50.00 EUR (fifty euros).

3.2. Maturation: Commissions remain in "Pending" status for 30 days from the transaction date, in line with the refund policy offered to customers. After this period, commissions move to "Approved" status and become withdrawable.

3.3. Payment methods: The Affiliate may request payment via:

  1. Bank transfer (SEPA or international)
  2. USDC (stablecoin cryptocurrency) – with a 3% deduction to cover administrative costs

3.4. Processing time: Withdrawal requests are processed within 14 business days of receipt.

3.5. Tax responsibility: The Affiliate is solely responsible for tax compliance relating to commissions received in their country of residence.


4. AFFILIATE OBLIGATIONS


4.1. The Affiliate agrees to:

a) Promote MINOMO honestly, transparently and in compliance with applicable laws;

b) Not make false, misleading or deceptive statements about MINOMO services;

c) Clearly identify the promotional nature of content when required by applicable regulations (e.g. "affiliate link", "ad", "sponsored");

d) Not use spam techniques, including but not limited to: unsolicited emails, mass messaging, automated comments;

e) Not bid on keywords containing "MINOMO", "minomo.io" or similar variations in paid advertising campaigns (Google Ads, Facebook Ads, etc.);

f) Not create websites, domains or social pages that may cause confusion with official MINOMO channels;

g) Not use cookie stuffing, fraudulent clicks or other manipulative techniques;

h) Not infringe third-party intellectual property rights in their promotional activities.


5. MINOMO RIGHTS


5.1. MINOMO reserves the right to:

a) Modify commission percentages with 30 days' notice;

b) Suspend or terminate the Affiliate's account in case of breach of this Agreement;

c) Cancel commissions arising from fraudulent, refunded or disputed transactions;

d) Modify the terms of this Agreement with notification to the Affiliate;

e) Suspend the affiliate program with 30 days' notice.


6. INTELLECTUAL PROPERTY


6.1. MINOMO grants the Affiliate a limited, non-exclusive and revocable licence to use the name, logo and official promotional materials solely for the purpose of promoting services under this Agreement.

6.2. The Affiliate does not acquire any intellectual property rights in MINOMO trademarks, logos or content.


7. LIMITATION OF LIABILITY


7.1. MINOMO is not liable for indirect, incidental or consequential damages arising from participation in the affiliate program.

7.2. MINOMO's maximum liability is limited to the amount of commissions accrued and not yet paid to the Affiliate.


8. TERM AND TERMINATION


8.1. This Agreement has an indefinite term and commences from the date of registration in the program.

8.2. Either party may terminate at any time with written notice to the other party.

8.3. Upon termination, the Affiliate retains the right to commissions accrued and approved up to the date of termination.


9. FINAL PROVISIONS


9.1. Governing law: This Agreement is governed by Romanian law.

9.2. Jurisdiction: For any dispute arising from this Agreement, the courts of Brașov, Romania shall have exclusive jurisdiction.

9.3. Communications: Communications relating to this Agreement must be sent to: [email protected]

9.4. Entire agreement: This document constitutes the entire agreement between the parties and supersedes all prior understandings, written or oral.

9.5. Severability: The invalidity of any clause shall not affect the validity of the remaining provisions.


ACCEPTANCE


By registering for the MINOMO Affiliate Program, the Affiliate declares that they have read, understood and fully accepted the terms of this Agreement.
